How will the IT team be engaged in the M&A process?

Will the IT team be engaged in the M&A discussion every step of the way, from the technology and cybersecurity due diligence phase through the current-state analysis and deal closing, to integration and completion?

How is IT preparing to manage or minimize potential risks?

Is your IT infrastructure secured against internal and external threats? Have you reviewed information security and identified critical risk items? Do you know the specific business constraints and compliance requirements? Have you identified obsolete systems and technical/financial risks? Are you preparing for a cybersecurity and risk assessment? Are you taking into consideration company cultures and process changes that can cause disruption?

Does IT have the resources needed for M&A?

Does the IT team have the tools to conduct a thorough physical and virtual inventory of the IT assets of each M&A partner? Can you identify how IT resources are integrated and understand their interdependencies? Do you need to leverage experienced program and project management for M&A integration efforts? Will you need to lean on a Virtual CIO or CISO, or other SMEs that are needed to support the M&A integration?
